Welcome to TRXN (“we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of the TRXN platform, website at gettrxn.com, APIs, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Overview of the Service

TRXN is a decentralized payment verification platform. We enable businesses to create invoices priced in fiat currency and verify cryptocurrency payments made on supported blockchains (currently Bitcoin, Ethereum, and Polygon). TRXN does not custody, hold, transmit, or process cryptocurrency funds. We provide verification and matching services only.

2. Eligibility

You must be at least 18 years old and capable of entering into a binding legal agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements and that your use of the Service complies with all applicable laws and regulations in your jurisdiction.

3. Account Registration

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your login credentials confidential and secure
  • Accept responsibility for all activity that occurs under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe are being used in violation of these Terms.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Facilitate money laundering, terrorist financing, or other financial crimes
  • Process payments related to illegal goods, services, or activities
  • Circumvent or attempt to circumvent any sanctions, embargoes, or export controls
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to gain unauthorized access to the Service or its related systems
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use the Service in any manner that could damage, disable, or impair the Service
  • Use automated means (bots, scrapers, etc.) to access the Service without our written consent

5. Payment Verification: Not Payment Processing

TRXN verifies on-chain cryptocurrency transactions against invoices you create. It is important to understand that:

  • We do not custody funds. We never hold, control, or have access to your cryptocurrency or your customers’ cryptocurrency.
  • We do not process payments. Cryptocurrency transactions occur directly on-chain between the payer and your designated wallet address.
  • We verify, not guarantee. Our verification confirms that a blockchain transaction matches invoice parameters (amount, recipient address, etc.) based on publicly available on-chain data.
  • Exchange rates are informational. Fiat-to-crypto conversions displayed in the Service are sourced from third-party providers (such as CoinMarketCap and CoinAPI) and are provided for informational purposes. We do not guarantee exchange rate accuracy.
  • Blockchain transactions are irreversible. Once a cryptocurrency transaction is confirmed on-chain, it cannot be reversed by TRXN or any other party.

6. Fees and Billing

TRXN charges fees based on transaction volume. Current pricing details will be published on our website when available. We reserve the right to change our fees at any time with reasonable notice. Continued use of the Service after a fee change constitutes acceptance of the new fees.

7. API Usage

If you access the Service through our API, you agree to:

  • Use the API only in accordance with our published API documentation
  • Not exceed any rate limits or usage restrictions we establish
  • Keep your API credentials confidential
  • Accept that we may modify, suspend, or discontinue API access at any time

8. Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, software, and the underlying code, are owned by TRXN or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

9. Third-Party Services

The Service may integrate with or rely on third-party services, including blockchain networks, exchange rate providers, and analytics tools. We are not responsible for the availability, accuracy, or practices of any third-party services. Your use of third-party services is subject to their respective terms and policies.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • Blockchain verification results will be perfectly accurate in all circumstances
  • The Service will meet your specific requirements
  • Any defects in the Service will be corrected

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRXN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO TRXN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless TRXN and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any third-party rights
  • Any invoices, transactions, or business activities you conduct using the Service

13. Suspension and Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us. Upon termination:

  • Your right to use the Service ceases immediately
  • We may retain data as required by law or for legitimate business purposes
  • Provisions that by their nature should survive termination will survive (including Sections 8, 10, 11, 12, and 15)

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by updating the “Last updated” date at the top of this page and, where appropriate, providing additional notice (such as via email or through the Service). Your continued use of the Service after any changes constitutes acceptance of the updated Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TRXN regarding your use of the Service and supersede all prior agreements.
